1. Agreement to Terms
By accessing or using the Dzec Digital website (dzec.digital) and DzecOS platform services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms apply to all visitors, users, and clients of Dzec Digital.
2. Description of Services
Dzec Digital provides managed AI workforce solutions through the DzecOS platform. Our services include but are not limited to: deployment and operation of AI voice agents, SMS automation, email agents, web chat agents, knowledge management, analytics and reporting, and related consulting and integration services. All services are delivered on a managed, operated basis as described in your service agreement.
3. Service Agreements & Pricing
Specific service terms, pricing, and deliverables are outlined in individual Service Agreements executed between Dzec Digital and each client. These Service Agreements supplement and are governed by these general Terms of Service. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall prevail for the specific services covered.
4. Client Responsibilities
As a client of Dzec Digital, you agree to:
- •Provide accurate and complete information during onboarding and configuration
- •Maintain the confidentiality of any account credentials provided
- •Use our services in compliance with all applicable laws and regulations
- •Not use our services for any unlawful, fraudulent, or harmful purpose
- •Promptly notify us of any unauthorized use of your account or services
- •Ensure compliance with industry-specific regulations applicable to your business
5. Intellectual Property
All intellectual property rights in the DzecOS platform, including software, algorithms, designs, documentation, and branding, are owned by Dzec Digital. Clients are granted a limited, non-exclusive, non-transferable license to use the platform during the term of their service agreement. Client data remains the property of the client at all times.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of the service relationship. This includes business processes, technical configurations, client data, pricing terms, and any information designated as confidential. This obligation survives termination of the service agreement.
7. Service Level & Availability
We strive to maintain high availability of our AI workforce services. While we target 99.9% uptime, we do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated in advance. Specific service level commitments, if any, are defined in individual Service Agreements.
8. Limitation of Liability
To the maximum extent permitted by law, Dzec Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to these Terms or the use of our services. Our total liability shall not exceed the amounts paid by you to Dzec Digital in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Dzec Digital, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
10. Termination
Either party may terminate the service relationship in accordance with the terms specified in the applicable Service Agreement. Upon termination, we will provide reasonable assistance in transitioning your data and operations. We reserve the right to suspend or terminate access to our services immediately if you breach these Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
12. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after such modifications constitutes acceptance of the revised Terms.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
